Representative Transactions

Mergers & Acquisitions

Healthcare Acquisitions, Sales and Buy-Outs
Negotiated the purchase of a health maintenance organization and pharmacy for approximately $35 million. Represented the organization in the sale of its Medicaid and LTCD lines for approximately $29 million. Represented the organization in buy-out of investor in downstream holding company for approximately $12 million.

Healthcare Venture Capital Transactions
Represented a healthcare investment firm in connection with a $20 million PIPE and a $50 million acquisition.

E&P Transactions
Represented an oil exploration and production company, in connection with its reorganization for the development of oil and gas properties valued at approximately $27 million. Also represented the company in the sale of subsidiaries valued at approximately $305 million and in the sale of oil and gas properties for approximately $16 million.

Biotech Acquisition
Represented a major biotech company, in its $150 million acquisition of AppTec Laboratory Services.

Management-Led Leveraged Buy-Out
Represented management in the sale of a Central Texas heat-tracing business. The $310 million transaction involved managers/employees rolling their equity in the target company into equity of the buyer.

Energy Acquisition
Represented an environmental solution and waste management company for approximately $38 million relating to the acquisition of landfill gas businesses.

Sale of Manufacturer/Distributor
Representation of a manufacturer/distributor in the proposed sale of business in a transaction with an aggregate value of approximately $245 million.

Sale of Controlling Interest
Represented the controlling shareholder and CEO of a retail business with more than 325 locations in 23 states in connection with his sale of a majority interest in the company to a private equity fund for approximately $90 million. The transaction included an asset drop down, followed by a transfer of LLC interest with the existing owner rolling a substantial portion of his equity in the target company into the purchaser.

Purchase of Assets
Represented a global energy equipment manufacturer in the acquisition by some of its subsidiaries of substantially all of the assets of PowerComm, Inc. and its subsidiaries. This involved the negotiation of three separate purchase agreements in three different countries.

Purchase of Nanotechnology Assets
Represented a carbon nanotechnology company in the acquisition of Unidym’s carbon nanotube manufacturing assets. Unidym is a majority-owned subsidiary of Arrowhead (a NASDAQ-listed company).

Sale of Assets
Representation of certain equity holders of privately held internet technology company on a sale to a publicly held internet technology company for $40 million.

Energy Joint Venture
Representation of a Houston-based energy company in establishing a strategic joint venture involving certain Barnett Shale acreage with a subsidiary of Sumitomo Corporation for the initial price of $15.7 million.

Management-Led Buy-Out
Completed a reorganization and management buy-out for a wholesale foods distributing company valued in excess of $30 million.

Chemical Pipelines Purchase
Represented the purchaser of five chemical pipelines.

Investment Partnership to Acquire Real Estate
Represented an investment partnership organized to acquire a portfolio of $30 million worth of real estate properties.

Sale of Credit Card Division of Bank
Represented a North Texas bank in the sale of its credit card processing division for approximately $52 million.

Acquisition of Retailing
Represented a fashion accessory company in the acquisition of Chambers Belt Company.

Joint Venture to Sell FHA Loans
Represented a national banking and investment company in a joint venture with a large a national bank to originate and sell FHA home loans.

Public-Private Partnership
Represented a Texas Housing Authority in connection with neighborhood development projects valued at approximately $21 million.

Sale of Manufacturing Business
Represented shareholders of an industrial manufacturer in the sale of business for approximately $18 million.

Sale – Healthcare Facility
Negotiated the sale of majority interest in physician-owned ambulatory surgery center to publicly traded ambulatory surgery center company.

Sale – Healthcare Facility
Negotiated the sale of cardiology and cardiovascular surgery medical practices to a captive medical group of a Dallas nonprofit hospital system.

Acquisition
Represented a large construction company in connection with the acquisition of stock of a joint venture partner valued at approximately $50 million.

Capital Raises

IPO and Private Placement
Represented an energy services company in a Canadian IPO and simultaneous U.S. private placement and subsequent private placement of an aggregate of $30.8 million of common stock and the pending sale of approximately $20 million of 11 percent senior secured notes.

Fund Foundation
Represented a land investment management company in connection with a foundation of a $750 million fund.

Student Housing Fund Foundation
Represented issuer in connection with a $25 million fund formed to provide equity for the development of off-campus student housing.

At-the-Market Registered Offering
Representation of a local bank in connection with a $40 million at-the-market registered sale of common stock underwritten by Morgan Stanley.

Modified Dutch Auction of TARP Warrants
Represented a local bank in connection with the sale of 758,086 TARP Warrants to purchase common stock by the U.S. Department of Treasury in a Modified Dutch Auction conducted by Deutsche Bank Securities, Inc., as underwriter and agent.

NFL Stadium Financing
Represented an NFL franchise in connection with $175 million Floating Rate Senior Secured Notes due 2020 by Bank of America Securities LLC as Placement Agent.

Private Equity Investment
Represented a company that specializes in personal privacy issues. The investor was a major private equity firm. Transaction involved an initial financing of approximately $35 million, coupled with a substantial dividend payable to the prior security holders.

Private Placement
Represented a bank holding company in a $75 million private placement and recapitalization transaction.

Private Placement
Represented a company in $50 million private placement of fixed and variable rate preferred stock.

Capital Raise to Acquire Bank
Represented a group of investors in a $40 million capital raise to acquire Equity Bank of Dallas (now Triumph Savings Bank SSB).
