Andrew Ostapko is a member of Winstead’s Corporate, Securities/Mergers & Acquisitions Practice Group.  He focuses his practice on mergers, acquisitions, dispositions, entity formation and structure, and securities offerings.  He counsels private and public companies in a broad range of general corporate and commercial matters.  He also advises clients and their officers and directors on corporate governance and compliance procedures.

  • Assisted in the representation of a regional grocery store chain and distributor of fresh produce, meat and baked goods regarding the sale of a minority ownership interested to a foreign purchaser
  • Assisted in the representation of a publicly-traded U.S. airline regarding the disposition of hundreds of commercial aircraft, including MD 80s, B757s, B767s and A320s
  • Assisted in the representation of an industrial gas supplier regarding the acquisition of substantially all of its assets by a Fortune 200 purchaser
  • Assisted in the representation of the owners of an industrial gas supplier regarding a stock sale to a Fortune 200 purchaser
  • Assisted in the representation of the owners of a towing logistics company regarding a stock sale to a Fortune 500 purchaser

  • Assisted in the formation and representation of a commercial real estate investment fund and a private REIT regarding the private placement of $100 million in the United States, Canada, Australia, the United Kingdom and South Africa
  • Assisted in the formation and representation of a private REIT regarding the placement of $125 million to assemble a portfolio of hotels
  • Assisted in the formation and representation of a commercial real estate investment fund and two private REITs regarding the private placement of $100 million in the United States, Canada, Australia, the United Kingdom, Switzerland and Gibraltar 
  • Assisted in the formation and representation of a private equity fund regarding the private placement of $40 million to develop multifamily real estate
  • Assisted in the representation of a private natural gas and oil exploration company regarding a private placement to fund exploration of the Eagle Ford Shale

Search Tips:

You may use the wildcard symbol (*) as a root expander.  A search for "anti*" will find not only "anti", but also "anti-trust", "antique", etc.

Entering two terms together in a search field will behave as though an "OR" is being used.  For example, entering "Antique Motorcars" as a Client Name search will find results with either word in the Client Name.

Operators

AND and OR may be used in a search.  Note: they must be capitalized, e.g., "Project AND Finance." 

The + and - sign operators may be used.  The + sign indicates that the term immediately following is required, while the - sign indicates to omit results that contain that term. E.g., "+real -estate" says results must have "real" but not "estate".

To perform an exact phrase search, surround your search phrase with quotation marks.  For example, "Project Finance".

Searches are not case sensitive.
