Ben Howell’s practice focuses on various aspects of infrastructure and project finance, including public-private partnerships (P3s), financial structuring and traditional public finance. Ben frequently serves as underwriters’ and bank counsel for investment banks and banking syndicates for large-scale capital and project financings, as well as bond counsel and underwriters’ counsel for various infrastructure financings for state agencies, cities, counties, and municipal utility districts.

Ben is also a member of the firm’s Sports Business and Public Venues practice group and represents a variety of clients in the sports industry.

Representative Experience

Public and Project Finance

  • Bond counsel to the Texas Public Finance Authority in the issuance of $500 million premium revenue taxable bonds on behalf of the Texas Windstorm Insurance Association
  • Underwriter’s counsel for the issuance of over $475 million in taxable lease revenue bonds secured by U.S. General Services Administration rental payments for the construction and renovation of federal administration buildings in Maryland
  • Bond counsel to The Texas A&M University System in the issuance of $289 million of tax exempt and taxable Permanent University Fund Bonds
  • Underwriters’ counsel for the refinancing of over $800 million in tax exempt bonds issued by the Texas Department of Transportation 
  • Underwriter’s counsel for the issuance of over $230 million in tax exempt bonds issued by the Texas Water Development Board
  • Bond counsel to the South San Antonio Independent School District in the sale of over $25 million in unlimited tax refunding bonds
  • Underwriter’s counsel for the issuance of over $37 million in taxable lease revenue bonds for the multi-state acquisition of a portfolio of properties secured by U.S. General Services Administration rental payments
  • Underwriters’ counsel for the issuance of over $150 million in tax exempt bonds for the expansion of a toll bridge and related facilities in Destin, Florida
  • Bond counsel for the City of Liberty Hill, Texas, in its acquisition and financing of regional water and wastewater systems 

Sports Business

  • Representation of an NFL franchise in litigation support and a subsequent governmental debt restructure to generate capital improvement funds for its multi-tenant stadium and reimburse the franchise for various lease obligations, as well as ongoing corporate, finance, and other venue matters
  • Representation of a minority owner in the acquisition, corporate restructuring, and financing of a majority interest in an MLS and an NWSL franchise and soccer-specific stadium from a worldwide sports and media conglomerate, and negotiation of post-closing corporate restructure, consents, and transition of agreements including naming rights agreement and material sponsorships
  • Representation of a state authority in the negotiation and documentation of a $1.4B retractable roof, multi-purpose venue for an NFL and expansion MLS franchise, including drafting and negotiation of the stadium lease, site coordination, licensing, concessions, intellectual property, and PSL agreements
  • Representation of a syndicate of senior lenders in the development and construction of a multipurpose FIA Grade 1 racing circuit located in Austin, Texas, including negotiation and coordination of applicable development, construction, real estate, permitting, environmental, financing, sponsorship, and governing body consents, as well as subsequent financial restructurings
  • Representation of and counsel to a South American majority owner in issues related to the acquisition of an expansion MLS franchise and development of a soccer-dedicated stadium and temporary venue

Commercial Lending

  • Senior lender’s counsel in the financing and corporate restructuring of the largest franchisee of a national furniture retailer and subsequent corporate expansions
  • Senior lender’s counsel in the leveraged buyout and reorganization of a heavy equipment manufacturer

Entering two terms together in a search field will behave as though an "OR" is being used.  For example, entering "Antique Motorcars" as a Client Name search will find results with either word in the Client Name.


AND and OR may be used in a search.  Note: they must be capitalized, e.g., "Project AND Finance." 

The + and - sign operators may be used.  The + sign indicates that the term immediately following is required, while the - sign indicates to omit results that contain that term. E.g., "+real -estate" says results must have "real" but not "estate".

To perform an exact phrase search, surround your search phrase with quotation marks.  For example, "Project Finance".
