Brenda Brown is an of counsel attorney in Winstead's Finance & Banking Practice Group and Financial Services Industry Group. Her practice focuses on assisting clients in various types of commercial lending transactions, executing and servicing real estate investments at the project and portfolio levels, as well as providing risk assessment, workout and foreclosure solutions for problem debt and equity investments.

Prior to joining Winstead, Brenda's practice included representation of start-up companies to mid-size businesses with commercial real estate finance, acquisitions and dispositions, and a broad range of corporate contracts and securities matters.

Representative Experience

  • Representation of regulated lenders and life insurance companies with various capital markets debt and equity structures, products and property types, intercreditor agreements, mezzanine debt, construction financing and commercial loan servicing (including special servicing) – most recently with workouts, foreclosures and related litigation of numerous homebuilder lines of credit on a nation-wide basis
  • Negotiation and drafting of a broad range of commercial contracts, including international sales and distributorship agreements, international equipment leases, partnership and joint venture agreements, confidentiality, non-disclosure and non-compete
  • Corporate restructuring and portfolio loan refinancing for multi-state property investments
  • Representation of equipment manufacturer in international security equipment lease and marketing rights agreements for high-profile events
  • Representation of developers, owners and institutional investors in commercial real estate acquisitions and dispositions
  • Representation of public and private companies with a broad range of securities transactions and compliance issues, including venture capital finance, public and private offerings, mergers, stock and asset acquisitions, Securities Act of 1933 and Exchange Act of 1934 issues, proxy, shareholder communications, SEC reporting and compliance
