For over 20 years, Paige Castañeda has focused on mergers and acquisitions and the business and transactional needs of angel and venture investors and early and growth-stage companies. She represents entrepreneurs, investors, government agencies, public and private companies and individuals in a wide variety of industries, including healthcare, hospitality, real estate, energy, technology, consulting, education and financial services.
Paige has handled a wide range of public, private and government M&A transactions, debt and equity securities offerings, complex corporate reorganizations and restructurings, family succession planning, shareholder disputes and general contract matters. Paige speaks, writes and reads Spanish fluently, and has lived and traveled extensively in Latin America.
Prior to attending Baylor Law School, Paige worked as a financial analyst for a Nasdaq-traded company in the manufacturing sector. Based in Winstead’s Austin office, Paige actively represents clients across Texas, including the Rio Grande Valley, the Houston and Dallas metropolitan areas, as well as Latin American clients conducting business in the state.

- Represented Texas healthcare company in the acquisition of over 250 primary care, pediatric and cardiovascular specialist medical practices across Texas, New Mexico and Florida, with purchase prices ranging from $100,000 to over $30 million.
- Advised a Texas-based seller in the $1.9 billion sale of its New Hampshire waste to energy and independent power generation division to a New York-based financial purchaser.
- Represented a leading Texas healthcare company with the sale of $480 million in equity to a publicly traded healthcare corporation.
- Counseled a Central Texas homebuilder in the $49 million sale of substantially all assets to a publicly traded company.
- Advised a Texas dermatology practice in its $22 million sale to a private equity buyer.
- Represented one Delaware and three Texas non-profit corporations, all holding charters from the Texas Education Agency, in connection with an Agreement and Plan of Merger. The transaction resulted in a unified Texas charter-holding entity, with over 25k students and 50 schools statewide.
- Assisted a bank holding company in a $26 million sale of a Texas banking association, navigating regulatory compliance and transactional complexities.
- Represented a Texas buyer in the acquisition of all outstanding equity interests from home healthcare organizations in Texas and Florida.
- Counseled a Texas heavy construction equipment rental and sales company in its $8.5 million asset sale to a strategic buyer.
- Represented the owner of a trucking insurance company in its $25 million asset sale to a strategic buyer, including the negotiation of a long-term employment agreement.
- Advised a Texas stock insurance company, general agency and premium finance company in connection with its asset sale to a Florida corporation.
Public & Private Debt & Equity Offerings:
- Successfully guided a digital health software company through five rounds of preferred stock financings, raising over $500 million across a four-year period.
- Represented a Texas-based homebuilder in its $114 million initial public offering.
- Counseled an investor in a convertible debt transaction for a Colorado-based cannabis dispensary, as well as in convertible note and preferred stock investments in a California-based cannabis edibles company.
- Advised an Austin-based private artificial intelligence company in its $10 million initial seed financing.
- Represented an angel investor group in connection with a Series A preferred stock investment in a Delaware medical device company.
- Represented a privately-held financial institution support corporation in securing venture capital financing during its Series C preferred round.
- Represented a large healthcare-focused venture capital firm in connection with its Series D preferred financing round.
- Advised a Texas-based fitness corporation through multiple rounds of preferred stock financings.
Real Estate Partnerships:
- Represented physician investors in the acquisition and disposition of over 45 privately financed medical office buildings across Florida and Texas. These transactions involved private investor and bank financing arrangements.
- Advised a Houston-based real estate partnership on 15 separate apartment complex portfolio acquisitions in Houston and San Antonio, Texas, with purchase prices ranging from $6.6 million to $52 million.
