Representative Transactions

Mergers & Acquisitions 

  • Represent a major United States airline through negotiations on the purchase and sale of aircraft, and negotiations for the purchase of equipment used for various aircraft in their fleet, including Airbus 320s, Boeing 737s, Boeing 767s, and Boeing 777s. Winstead has represented this airline on equipment purchases for approximately 800 aircrafts.
  • Represent a commercial bank in a $250 million universal registration statement. 
  • Represent a global chemical manufacturing company in negotiating long term pipeline transportation arrangements for a new $150 million pipeline system in Pennsylvania. 
  • Represent an energy services company in a tender offer for $192.5 million in authorized 11% senior secured notes and repurchase of $20 million of first priority floating rate senior secured notes, and consolidated offering of $255 million in new senior unsecured notes and establishment of $75 million secured revolving credit facilities. 
  • Represent a waste services company in the acquisition of a company valued at $400 million. 
  • Represent a public energy services company in a registered exchange offer of $250 million of senior notes. 
  • Represent an oil and gas services company in a divisive reorganization with change of ownership interests among shareholders. 
  • Represent a development company in the formation and private offering of limited partnership interests in a Fund designed to invest in the development of student housing. 
  • Represent a private company in the purchase of fuel and petroleum products, transportation and sale business (including bulk fueling facilities, tanks, vehicles, customer contracts) and card lock fueling and bulk farm real estate. 
  • Represent a public energy services company in connection with an amendment of $250 million revolving credit facility. 
  • Represent a NASDAQ-listed electrical manufacturing company in connection with a proposed acquisition of a Canadian company 
  • Represented an oil and gas services company in connection with its Rule 144A offering of $375 million in senior notes, and related tender offer, consent solicitation and redemption of a series of $300 million in previously outstanding senior notes. 
  • Represented a large international engineering services company in the acquisition of a Texas company. 
  • Represented a commercial real estate company in the formation and private offering of its ninth fund targeted to raise $100 million. 
  • Represented the Named Executive Officers and 20 Selling Stockholders in the $180 million IPO offering by a thermal solution process industry company. In addition to reviewing the usual Selling Stockholder documents and rendering legal opinions to the underwriters, Winstead advised the clients with regard to amendments to Security holder Agreements and Management Equity Agreements to reflect the company’s new public status. 
  • Represented an oil and gas exploration company in connection with the sale of a partial interest in Marcellus gas properties in Pennsylvania for $10 million and a $100 million joint development program. 
  • Represented a leading real estate investment company in the formation of its fourth land fund and its $750 million private offering of limited partnership interests. The project included extensive negotiation of the partnership agreement with the Fund's lead institutional investor and the preparation of a private placement memorandum for the offering. 
  • Represented a movie production company producing an action thriller. Winstead has represented the client throughout the formation of the production company, the raising of the money required to finance the film, and the review of production crew and talent contracts. 
  • Represented an oil and gas services company in connection with its public offering of 8.1 million shares of its common stock. Concurrent with this transaction, the client launched a $700 million newbuild program for the construction of new generation offshore service vessels to be partially financed with a portion of the proceeds from the equity offering. Winstead assisted the client in meeting its disclosure obligations related to this newbuild program. 
  • Represented an energy company in connection with its Rule 144A offering of $280 million in senior notes, and the same company’s related tender offer and consent solicitation for a series of approximately $193 million in outstanding senior secured notes, and related repurchase of $20 million of another series of senior secured notes.

Search Tips:

You may use the wildcard symbol (*) as a root expander.  A search for "anti*" will find not only "anti", but also "anti-trust", "antique", etc.

Entering two terms together in a search field will behave as though an "OR" is being used.  For example, entering "Antique Motorcars" as a Client Name search will find results with either word in the Client Name.

Operators

AND and OR may be used in a search.  Note: they must be capitalized, e.g., "Project AND Finance." 

The + and - sign operators may be used.  The + sign indicates that the term immediately following is required, while the - sign indicates to omit results that contain that term. E.g., "+real -estate" says results must have "real" but not "estate".

To perform an exact phrase search, surround your search phrase with quotation marks.  For example, "Project Finance".

Searches are not case sensitive.
