An overview of the Texas lien laws from the perspective of owner/developers and their lenders in light of the most recent (2021) legislative changes. The presentation will address a series of typical questions from developer/lender clients when faced with the practical issues arising from Texas lien laws – with an emphasis on how the recent legislative changes have changed the legal landscape. For example, what were the main changes to the Texas lien laws in the 2021 legislation (and what changes simplified the lien laws and what changes only made matters worse)? How does retainage withheld by an owner from the contractor actually protect the owner and its property from lien claims (what are the actual requirements for such retainage and what happens if those requirements are not met)? How have lien priorities between the construction loan and the lien claims of contractors been impacted by the recent legislative changes (going back to the changes in 2011, as well as those in 2021)? What kind of notices are owner/developers entitled to receive from lien claimants and what can owner/developers do when they receive those notices? What should owner/developers do and how should their contracts be changed to mitigate the risk of lien claims as a result of the 2021 changes?
