Tanner Brennan is a member of Winstead’s Corporate, Securities/M&A Practice Group. Tanner represents public and private companies in connection with public offerings and private placements of debt and equity securities, mergers, acquisitions, reverse takeovers, divestitures, private equity and venture capital transactions, joint ventures, entity structure and formation, corporate governance, securities law compliance (including public reporting and disclosure obligations under the Securities Act of 1933 and the Securities Exchange Act of 1934), securities exchange listing requirements and general commercial transactions.
Tanner has assisted clients ranging in size, from start-ups to large public companies, and within a variety of industries, including oil and gas, real estate, technology, and manufacturing.
Prior to joining Winstead, Tanner worked as a Certified Public Accountant in the Dallas/Fort Worth area.

- Represented a NASDAQ-listed company in connection with the filing of a shelf registration statement on Form S-3, registering up to an aggregate of $50 million of company securities.
- Represented a NASDAQ-listed company in connection with the filing of a registration statement on Form S-3, registering 920,000 shares of its common stock under a convertible financing arrangement.
- Represented a NASDAQ-listed company in connection with an “at-the-market” public offering of up to $5.975 million of common stock.
- Represented a NASDAQ-listed company in connection with a registered direct offering of $7 million of common stock.
- Represented a NASDAQ-listed company in connection with a registered direct offering of $5.6 million of common stock.
- Represented a NASDAQ-listed company in connection with a confidentially marketed public offering of $10 million of common stock.
- Represented a NASDAQ-listed company in connection with an “at-the-market” public offering of up to $120 million of common stock and its subsequent upsizing to up to $172 million of common stock.

- Represented a privately-held company in connection with a $11 million acquisition of a privately-held equipment manufacturing and services company.
- Represented a privately-held user experience strategy and design company in connection the sale of its assets to a privately-held company valued at $8.5 million.
Private Fund Formation
- Representation of multiple oil and gas exploration and production companies in structuring of numerous sponsored partnerships formed for the purpose of oil and gas exploration and ownership of income-producing oil and gas properties, which included counsel on private placements of partnership interests various amounts.
- Representation of private sponsor engaged in the acquisition and management of medical real estate property portfolios located throughout the country in connection with various joint ventures of different sizes.
- Representation of various private sponsors in connection with offerings related to multifamily, commercial and medical real estate projects and portfolios ranging in size.
