Bill is an experienced corporate securities/M&A lawyer who works with clients on mergers and acquisitions, contract drafting and review, and corporate and securities matters.

Bill listens to his clients to understand their deal objectives. He uses that information and his experience to develop strategies that avoid pitfalls while working to maximize their short and long-term business goals. He has extensive experience representing buyers and sellers in large transactions across various industries, including healthcare, communications, transportation and manufacturing.

He also regularly represents private equity portfolio companies in their add-on acquisitions.

  • Representation of orthodontic support organization in approximately 15 discrete add-on acquisitions of orthodontic practices across the western United States with an aggregate value in excess of $75,000,000
  • Representation of oral surgery support organization in approximately 35 discrete add-on acquisitions of oral surgery practices across the country with an aggregate value in excess of $200,000,000
  • Representation of packaging company in the acquisition of a strategic target for approximately $10,000,000
  • Representation of multinational trucking company in the sale of its business for $75,000,000 to a publicly-traded strategic buyer
  • Representation of consulting company in the sale of its business to a strategic buyer for $50,000,000
  • Representation of satellite uplink and transmission company in the sale of a majority stake in its business for $30,000,000
  • Representation of clinical testing services company in the sale of its business to an international strategic buyer for $10,000,000

Search Tips:

You may use the wildcard symbol (*) as a root expander.  A search for "anti*" will find not only "anti", but also "anti-trust", "antique", etc.

Entering two terms together in a search field will behave as though an "OR" is being used.  For example, entering "Antique Motorcars" as a Client Name search will find results with either word in the Client Name.

Operators

AND and OR may be used in a search.  Note: they must be capitalized, e.g., "Project AND Finance." 

The + and - sign operators may be used.  The + sign indicates that the term immediately following is required, while the - sign indicates to omit results that contain that term. E.g., "+real -estate" says results must have "real" but not "estate".

To perform an exact phrase search, surround your search phrase with quotation marks.  For example, "Project Finance".

Searches are not case sensitive.
