Clara Betancourt is a member of Winstead’s Corporate, Securities/Mergers & Acquisitions Practice Group. Clara serves as counsel to private companies in connection with acquisitions and dispositions, complex reorganizations, joint ventures and investment structures. She represents clients throughout the full lifecycle of a deal, including structuring, legal due diligence, negotiation and drafting of transaction documents, and post-closing implementation. Clara also provides guidance on entity formation, governance, commercial contract negotiations and employee equity and incentive arrangements.

Representative Experience

  • Representation of buyers and sellers in corporate acquisitions, dispositions, and multi-entity reorganizations.
  • Counsel to investment groups and operating companies on joint ventures, internal restructurings and capital investments.
  • Ongoing support to operating companies on governance matters, ownership and capitalization updates, employee equity programs and key commercial contracts.
  • Representation of emerging companies on formation, founder arrangements, early-stage funding, and general corporate strategy.
  • Advises companies on private securities offerings, governance matters and compliance with applicable securities laws.

Entering two terms together in a search field will behave as though an "OR" is being used.  For example, entering "Antique Motorcars" as a Client Name search will find results with either word in the Client Name.

Operators

AND and OR may be used in a search.  Note: they must be capitalized, e.g., "Project AND Finance." 

The + and - sign operators may be used.  The + sign indicates that the term immediately following is required, while the - sign indicates to omit results that contain that term. E.g., "+real -estate" says results must have "real" but not "estate".

To perform an exact phrase search, surround your search phrase with quotation marks.  For example, "Project Finance".

Searches are not case sensitive.
