Cody Gee is a member of Winstead’s Real Estate Development & Investments Practice Group. His practice focuses on representing developers, investors, and institutional clients in a variety of complex real estate transactions ranging in value from $4 million to $183 million. Cody is experienced in negotiating transaction documents, overseeing title and survey review, and managing closings for projects across multiple asset types.

Representative Experience

Acquisitions & Dispositions

  • Represented purchaser in the $42 million portfolio acquisition of multiple industrial properties located in Michigan and Ohio.
  • Represented seller in the $4 million disposition of a medical office building in Dallas, Texas.
  • Represented a private equity group in the sale of land in McKinney, Texas.
  • Assisted in the disposition of a mixed-use residential and retail development valued at $183 million in Phoenix, Arizona.

Leasing

  • Drafted and negotiated multiple retail leases on behalf of a landlord for a retail park in Fort Worth, Texas, involving national food and beverage tenants, a national fitness chain, and medical/dental office users.
  • Represented landlord in the negotiation of a 20,000 sq. ft. retail lease with a pool supply company in Kissimmee, Florida.

Joint Ventures

  • Represented an institutional developer in the negotiation of a joint venture agreement for the development of a $55 million multifamily development project in Arlington, Texas.
  • Represented a preferred equity investor in the negotiation of multiple joint venture agreements for development projects in Naples, Florida and Arlington, Texas.
  • Represented developer in drafting a joint venture agreement for the acquisition of a retail project in Kissimmee, Florida.

Financings

  • Represented a national bank in connection with multiple construction loans, including an $80 million loan for a multifamily development in Shoreline, Washington, and a $48 million loan for the development of a multifamily development in San Antonio, Texas. 
  • Represented an institutional real estate developer in connection with a $28 million construction loan for the development of an industrial building in Jessup, Maryland.
  • Represented a non-profit organization in the negotiation of a $15 million credit agreement to finance the construction of a public highway park in Dallas, Texas.

Search Tips:

You may use the wildcard symbol (*) as a root expander.  A search for "anti*" will find not only "anti", but also "anti-trust", "antique", etc.

Entering two terms together in a search field will behave as though an "OR" is being used.  For example, entering "Antique Motorcars" as a Client Name search will find results with either word in the Client Name.

Operators

AND and OR may be used in a search.  Note: they must be capitalized, e.g., "Project AND Finance." 

The + and - sign operators may be used.  The + sign indicates that the term immediately following is required, while the - sign indicates to omit results that contain that term. E.g., "+real -estate" says results must have "real" but not "estate".

To perform an exact phrase search, surround your search phrase with quotation marks.  For example, "Project Finance".

Searches are not case sensitive.
