Kristen Sherwin is a Shareholder in Winstead's Construction Practice Group.  She represents plaintiffs and defendants in a variety of complex construction disputes and provides advice and counsel to owner, developer and contractor clients on construction contracts, contract administration, lien and bond claims and project close-out.

Kristen is Board Certified in Construction Law by the Texas Board of Legal Specialization.

Construction Transactions

Prepares various construction industry contracts for owners, developers and general contractors and provides advice regarding contract administration, contract interpretation, project specific issues, and lien, bond, and insurance claims.  Representative matters include:

  • Preparation and negotiation of Construction Manager at Risk contract for mixed-use mid-rise luxury hotel and residential condominium
  • Preparation and negotiation of Architect agreement for mixed-use high rise condominium
  • Advice and preparation of construction and design contracts for numerous multi-family and mid-rise condominiums located in Dallas, Texas
  • Representation of real estate developer related to Texas multi-family portfolio including drafting construction contracts and construction counseling
  • Drafting and negotiation of construction agreements for repair of hurricane damaged condominiums
  • Preparation of construction and design contracts for airplane hangars at numerous major airports
  • Advice related to construction contracts, subcontracts, and liens for pediatric health care system
  • Drafting of professional services agreements and repair related construction agreements for numerous condominium owners associations in Dallas and Houston, Texas

Construction Litigation

Represents owners and contractors, in complex litigation and arbitration involving construction defects, contractor defaults, terminations, delays, scheduling and payment issues. Representative cases include:

  • Representation of owner of a large apartment complex in pursuing damages for multimillion dollar repairs related to construction defects and water infiltration
  • Representation of owner of golf resort in pursuing damages for construction defects
  • Multiple Cases representing developers in defending claims asserted by condominium associations alleging construction defects
  • Representation of condominium owners association pursuing construction defects against developer
  • Representation of general contractors in pursuing and defending claims against owners and subcontractors
  • Representation of oil and gas company pursuing claims for defects in construction of subsea well tie-back in adversary proceeding in bankruptcy court
  • Representation of subcontractor pursuing claims against general contractor for non-payment and defending delay damages claims of general contractor
  • Representation of shopping center owner pursuing contractor for termination and replacement contractor damages and defending claims of contractor for non-payment

Commercial Litigation

Representation of individuals and companies in commercial and business disputes across a wide array of industries in suits involving a variety of contract and tort claims. Representative cases include:

  • Representation of banks, servicers, and lenders in litigation issues arising during workouts and foreclosures, including pursuit of extraordinary remedies such as injunctive relief and receivership
  • Defense of broker-dealers in FINRA arbitrations
  • Defense of corporate entities in California Superior Court in litigation involving alleged breaches of ground lease provisions, tortious interference, conversion and fiduciary duty breaches
  • Representation of title insurance company in class action litigation in Federal Court and on Appeal to the United States Court of Appeals for the Fifth Circuit
  • Representation of health plan administrator in arbitration

Entering two terms together in a search field will behave as though an "OR" is being used.  For example, entering "Antique Motorcars" as a Client Name search will find results with either word in the Client Name.


AND and OR may be used in a search.  Note: they must be capitalized, e.g., "Project AND Finance." 

The + and - sign operators may be used.  The + sign indicates that the term immediately following is required, while the - sign indicates to omit results that contain that term. E.g., "+real -estate" says results must have "real" but not "estate".

To perform an exact phrase search, surround your search phrase with quotation marks.  For example, "Project Finance".

Searches are not case sensitive.
