Michael Rhim regularly advises clients on the tax structuring of complex commercial real estate transactions, including securitized financing arrangements and sophisticated equity investment structures. He has significant experience negotiating and drafting partnership and operating agreements that govern real estate joint ventures and investment platforms, helping clients align economic interests while managing tax efficiency.

In addition, Michael represents sponsors and investors in the formation and structuring of private equity funds, with a particular emphasis on vehicles focused on real estate investments.

Representative Experience

  • Represented real estate developer and operator as sponsor of a private equity fund formed to invest in office, retail, and industrial properties located primarily in the Southeastern United States. 
  • Represented investors in commercial real estate transactions involving complex like-kind exchanges. 
  • Represented hotel developer and operator in the acquisition of promissory notes secured by distressed properties located in Alabama, Georgia, and North Carolina. 
  • Represented industrial real estate developer and operator in the restructuring of $200 million equity joint venture focused on acquiring and developing industrial and office properties in the Southeastern and Southwestern United States. 
  • Represented hotel developer and operator in the acquisition of hotel properties located in Southeastern United States.

You may use the wildcard symbol (*) as a root expander.  A search for "anti*" will find not only "anti", but also "anti-trust", "antique", etc.

Entering two terms together in a search field will behave as though an "OR" is being used.  For example, entering "Antique Motorcars" as a Client Name search will find results with either word in the Client Name.

Operators

AND and OR may be used in a search.  Note: they must be capitalized, e.g., "Project AND Finance." 

The + and - sign operators may be used.  The + sign indicates that the term immediately following is required, while the - sign indicates to omit results that contain that term. E.g., "+real -estate" says results must have "real" but not "estate".

To perform an exact phrase search, surround your search phrase with quotation marks.  For example, "Project Finance".

Searches are not case sensitive.
